Position Summary

  • Reporting directly to the Vice President & General Counsel of Transportation Systems EMEA & North America, the Assistant General Counsel & Manager of Contracts will provide general commercial, litigation, antitrust, mergers, acquisition & disposition and legal advice as well as provide general contracts support to the broader TS business.
  • This position will be responsible for the negotiation, review & drafting of a broad range of commercial agreements, including supply, sales, marketing, distributor & sales agent agreements, licensing & procurement agreements as well as advising on merger, acquisition, disposition and reorganization arrangements, with a special focus on the new TS Connected business, which is designing and selling IT systems for automotive.
  • The position will support the General Counsel and liaison with the Intellectual Property, Environmental, HR, Litigation & Tax resources in the broader organization as well as engage, direct and manage outside counsel as required.
  • Qualifications :

  • Have an LLB / JDA or equivalent law degree from a top European or US Law School as well as be admitted to a bar is required,
  • Exposure and experience dealing with a common law jurisdiction such as the United States or UK would an asset as would business experience in Eastern Europe, Asia, India & South America.
  • At least 7 years experience with a major law firm and / or corporation; with some in house counsel experience being a strong asset.
  • Fluency in German and English as well as having good drafting skills in these languages is an absolute requirement; additional language capabilities such as Frenchwould be an asset
  • Experience in the Automotive IT sector (or a related sector with strong OEM dynamics) would be an asset
  • Superior contract drafting skills and experience drafting a wide range of sales, marketing, distributor, sales agent and procurement contracts is required
  • Experience dealing with a wide range of legal issues including antitrust & competition law issues, dispute resolution & litigation, distributors, environmental, intellectual property, licensing, tax, compliance and internal investigations etc. would be an asset
  • Enthusiastic with strong interpersonal skills, process improvement focus and a desire to enhance the business’ transactional oversight and contract excellence initiatives
  • Strong intellectual capacity & work ethic along with a high personal standard of excellence and
  • Strong business acumen along with a strong customer / business partner focus & leadership presence
  • Must be able to prioritize and work independently and take the initiative when required under general instructions and have an interest in a high volume, fast paced transactional practice.
